You can consent to this Agreement’s terms by clicking the “AGREE” checkbox. You agree that we may send you in electronic form any privacy or other notices, disclosures, reports, documents, communications, or other records regarding the services (collectively, “Notices”). We can send you electronic Notices (1) to the email address that you provided to us during registration or (2) by posting the Notice on the Service or otherwise through our Site. The delivery of any Notice from us is effective when we send it, regardless of whether you read the Notice when you receive it or receive the delivery. You can withdraw your consent to receive Notices electronically by canceling or discontinuing your use of the applicable Service.

INFORMED CONSENT

By clicking the “AGREE” button, you acknowledge that you consent to receiving care via the Service. The scope of care will be at the sole discretion of the healthcare provider treating you, with no guarantee of diagnosis, treatment, or prescription. The healthcare provider will determine if the diagnosed and treated condition is appropriate for a telehealth encounter via the Service. The Service respects and upholds patient confidentiality concerning protected health information as outlined by the Health Insurance Portability and Accountability Act (“HIPAA”) and, subject to HIPAA regulations, will obtain express patient consent before sharing any patient-identifiable information with a third party for purposes other than treatment, payment, or health care operations. In addition, by clicking the “AGREE” button, you are authorizing OBA HEALTHCARE, PLLC / OBAHEALTHCLUB.COM & PARTNERS to release your contact information to OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners solely in order for OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners to provide you with marketing materials promoting the Service. You may opt out of receiving such marketing materials by contacting us at [email protected]. Finally, when using the Service, you may be asked if you would like to share certain PHI collected by Apple’s Health Kit with the Service. By clicking “SYNC,” you authorize OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners to collect and OBA HEALTHCARE, PLLC / OBAHEALTHCLUB.COM & PARTNERS providers to utilize such PHI.

INFORMED CONSENT FOR SERVICES PERFORMED BY OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners.

All providers available through the Service are independent professionals solely responsible for the medical care they provide. OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners does not practice medicine or provide medical services and is not liable for any healthcare outcomes or decisions.

Telemedicine involves using electronic communications to enable healthcare providers at sites remote from patients to provide consultative services. Providers may include primary care practitioners, specialists, and subspecialists. The information may be used for diagnosis, therapy, follow-up, and education. It may consist of live two-way audio, video, and other materials (e.g., medical records and data from medical devices).

The communications systems will incorporate network and software security protocols to protect the confidentiality of patient information. They will include reasonable measures to safeguard the data and to ensure its integrity against intentional or unintentional corruption.

An encounter summary will be provided to the patient at the end of each encounter, which may be kept for the patient’s records. It is shared with the patient’s local primary care or other provider.

Anticipated Benefits of Telemedicine:

• Improved access to medical care by enabling patients to remain at their home or office while consulting a clinician.
• More efficient medical evaluation and management.

Possible Risks of Telemedicine:

As with any medical procedure, there are potential risks associated with telemedicine. OBA HEALTHCARE, PLLC / OBAHEALTHCLUB.COM & PARTNERS believe these risks’ likelihood of materializing is exceptionally low. These risks may include, without limitation, the following:

• Delays in medical evaluation and consultation or treatment may occur due to deficiencies or failures of the equipment.
• Security protocols could fail, causing a breach of private medical information.
• Lack of access to complete medical records may result in adverse drug interactions, allergic reactions, or other negative outcomes.

Certain features of our platform may offer health suggestions or alerts based on algorithms. These are not a substitute for professional medical advice, diagnosis, or treatment. Always consult with a licensed provider before making decisions based on these tools.

We retain your health and account information as required by federal and state laws. You may request a copy or deletion of certain non-medical data by emailing [email protected]. Medical records are retained in accordance with HIPAA and applicable state retention requirements.

You may cancel or reschedule appointments up to 24 hours in advance. Missed appointments or late cancellations may incur a fee. Please refer to your provider’s specific no-show policy.

By accepting these Terms of Use, you acknowledge that you understand and agree with the following:

1. I understand that the laws that protect privacy and the confidentiality of medical information also apply to telemedicine; I have received the OBA HEALTHCARE, PLLC / OBAHEALTHCLUB.COM & PARTNERS Notice of Privacy Practices, which explains these issues in greater detail.
2. I understand that telemedicine may involve electronic communication of my personal medical information to medical practitioners who may be in other areas, including out of State.
3. I understand that I may expect the anticipated benefits from telemedicine in my care but that no results can be guaranteed or assured.
4. I understand that my healthcare information may be shared with others for treatment, payment, and healthcare operations. Clinicians maintain psychotherapy notes that are not shared, while billing codes and encounter summaries are shared with others and me. Suppose I obtained psychotherapy from OBA HEALTHCARE, PLLC / OBAHEALTHCLUB.COM & PARTNERS. In that case, I understand that my therapist has the right to limit the information provided to me if, in my therapist’s professional judgment, sharing the information with me would be harmful to me.
5. I further understand that my healthcare information may be shared in the following circumstances:
6. a) When a valid court order is issued for medical records.
7. b) Reporting suspected abuse, neglect, or domestic violence.
8. c) Preventing or reducing a serious threat to anyone’s health or safety.

Patient Consent to the Use of Telemedicine

I have read and understand the information provided above and the risks and benefits of telemedicine. By accepting these Terms of Use, I now give my informed consent to participate in a telemedicine visit under the terms described herein.

PAYMENT AUTHORIZATION

By accepting these terms of use, you are authorizing the Service to charge your credit card for the total amount due from you concerning your consultation. Please note that the Service may not have access to whole or complete information from your health plan regarding the applicable co-pay due from you for your consultation. As such, you may be billed multiple times concerning a consultation – once before beginning the visit and a second time once your health plan has advised us as to what additional co-pays, if any, you owe.

I understand that this authorization to bill my credit card will remain in effect until I cancel it in writing. I agree to notify OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners, of any changes in my account information. In the case of an ACH Transaction being rejected for Non-Sufficient Funds (NSF), I understand that OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners may, at its discretion, attempt to process the charge again at any time within 30 days. I acknowledge that the origination of ACH transactions in my Account must comply with the provisions of U.S. law. I certify that I am an authorized user of this credit card/bank account and will not dispute these scheduled transactions with my bank or credit card company so long as the transactions correspond to the co-payment required by my health plan.

We do not offer refunds for completed consultations. If you believe you were charged in error, please contact [email protected] within 30 days of the transaction. Disputes beyond this period may not be honored.

Membership plans may auto-renew monthly or annually and based on your selection. You can cancel at any time by logging into your account or contacting support. Benefits, pricing, and terms are subject to change with notice.

MISCELLANEOUS

This Agreement shall be governed by the laws of the Commonwealth of Michigan without regard to its rules on conflicts or choice of law. You, now, consent to the exclusive authority of the courts of the Commonwealth of Michigan to resolve any dispute based upon or relating to this Agreement. This Agreement constitutes the sole Agreement between you and OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners relating to your use and our provision of the Service and the subject matter hereof, and no representations, statements, or inducements, oral or written, not contained in this Agreement shall bind either you or OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners. Any of the terms of this Agreement that are determined to be invalid or unenforceable shall be ineffective to the extent of such invalidity or unenforceability without rendering invalid or unenforceable any of the remaining terms of this Agreement or affecting the validity or enforceability of the Agreement as a whole. Failure to insist on the performance of any of the terms of the Agreement will not operate as a waiver of any subsequent default. No waiver by OBA HEALTHCARE, PLLC / OBAHealthClub.com Partners of any right under this Agreement will be deemed to be either a waiver of any other right or provision or a waiver of that same right or provision at any other time. You may not assign, transfer, or delegate your rights or obligations here under, in whole or in part. This Agreement shall be binding upon and inure to the benefit of each party and respective successors and permitted assigns. Except as otherwise explicitly provided herein, this Agreement may not be modified, supplemented, qualified, or interpreted except in writing and signed by the parties.

A printed version of this Agreement and any related notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
